We are seeking an experienced and strategic Head of Legal (Director level) to lead our legal function across Southeast Asia. As the Head of Legal, you will be responsible for shaping the legal, regulatory, and governance infrastructure that supports our growth across five markets: Singapore, Malaysia, Indonesia, Thailand, and Vietnam.

You will serve as a key strategic advisor to the team, working closely with commercial, product, operations and compliance to navigate legal complexity across markets. Your mandate is to enable responsible innovation and growth while protecting the company’s interests, guiding legal input across product design, commercial structuring, regulatory engagement, and strategic initiatives such as fundraising.

What you will do:

Lead and scale the regional legal function , overseeing in-house counsels and managing external legal partners across all operating markets.
Play a critical role in driving the company’s path to profitability by enabling compliant yet commercially viable business models, proactively managing legal risk exposure, and leading cost-effective legal operations at scale.
Provide strategic legal guidance on digital lending, payments, embedded finance, and product innovation — ensuring alignment with evolving regulatory frameworks.
Review, draft, and negotiate complex commercial agreements , including those related to partnerships, product innovation, data sharing, platform integrations, secured lending, and IP.
Proactively manage regulatory interactions and licensing requirements, particularly in high-impact markets.
Advise on and manage litigation or enforcement processes , especially for secured lending and litigation-led collections.
Own legal risk management related to data privacy, consumer protection, anti-bribery, and cross-border operations.
Support corporate strategic events , such as M&A, fundraising etc, with a focus on entity structure, due diligence, and board governance.
Drive adoption of legal technology and automation tools to improve the Legal team’s overall effectiveness.

What we are looking for:

12+ years of relevant legal experience, including regional experience in Southeast Asia; a mix of law firm and in-house experience is highly valued.
Legal qualifications in Singapore, Malaysia, or other common law jurisdictions; admission to practice is preferred.
Experience working within or advising on civil law jurisdictions (e.g., Indonesia, Thailand, Vietnam) is highly preferred.
Good understanding of regulatory environments across Southeast Asia, with expertise in both developed and emerging markets
Strong experience in financial services, fintech, digital lending and/ or payments is preferred.
Proven ability to balance commercial pragmatism with legal integrity in high-growth, cross-functional environments.
Experience managing legal teams and external counsel across multiple jurisdictions.
Exceptional judgment, communication, and stakeholder management skills.

The Head of Legal, Risk & Compliance plays a critical leadership role in safeguarding the organisation’s legal and regulatory integrity while strengthening enterprise risk oversight. This role leads the legal, risk, and compliance functions across the Group, ensuring that all operations and project activities adhere to applicable laws, ethical standards, and risk governance expectations. The position also supports the development of a robust risk culture throughout the company, aligned with international frameworks.

Key Responsibilities:

1) Legal & Corporate Governance

• Serve as the Group’s principal legal advisor on strategic matters including EPC contracts, project delivery structures, cross-border ventures, and regulatory issues.

• Manage contract negotiations, dispute resolution, legal documentation, and compliance with the Companies Act, Bursa Malaysia Listing Requirements, and other statutory obligations.

• Supervise litigation, arbitration, and claims management.

• Support board governance and corporate secretarial functions as needed.

• Lead the design and implementation of a Group-wide Enterprise Risk Management (ERM) framework based on international best practices.

• Identify, assess, and monitor key strategic, operational, and project-level risks in coordination with project teams and business units.

• Support the Group Risk Committee by providing regular risk reports and risk mitigation updates.

• Drive initiatives to embed risk ownership and awareness at all levels of the organisation, including operations, project sites, and support functions.

• Collaborate with project directors and engineering teams to ensure proactive risk planning and escalation processes.

Qualifications & Requirements:

1) Bachelor’s Degree in Law, with professional experience in corporate legal advisory.

2) Additional training or certifications in risk management, corporate governance, or compliance preferred.

3) Minimum 15 years of experience, including 5 years in a senior leadership role within EPC, construction, infrastructure, or industrial sectors.

4) Proven track record in managing complex legal and compliance issues across large-scale engineering projects.

5) Familiarity with international risk management frameworks, governance practices, and Malaysian engineering regulations.

Job Description

The Legal Counsel provides legal support across Capital A’s diverse business units, ensuring compliance with legal and regulatory requirements while managing risks. This role involves drafting and reviewing contracts, supporting business transactions, assisting in compliance matters, and working closely with internal stakeholders and external counsel.

Provide legal advice on corporate, commercial, and regulatory matters affecting Capital A’s operations.
Assist in ensuring compliance with relevant aviation, fintech, digital services, and corporate laws.
Monitor regulatory developments and provide updates to internal stakeholders.
Support the implementation of governance frameworks, policies, and procedures.
Draft, review, and negotiate contracts, including service agreements, vendor contracts, partnership agreements, and NDAs.
Identify potential legal risks in contracts and propose solutions to mitigate them.
Support the business in structuring legally compliant agreements aligned with company objectives.
Assist in managing legal disputes, claims, and litigation matters.
Work with external counsel to coordinate legal proceedings when necessary.
Support internal teams with risk mitigation strategies to prevent disputes.
Ensure compliance with corporate governance, data protection, and industry-specific regulations.
Assist in regulatory filings, licenses, and approvals required for business operations.
Support the protection and management of Capital A’s intellectual property portfolio.
Assist in legal matters related to technology, e-commerce, fintech, and digital assets.
Advise on data privacy and cybersecurity regulations impacting business operations.
Keep management informed about the latest legislative and regulatory developments.

Who You Are

LL.B. (Bachelor of Laws) from a recognized university; admission to the Malaysian Bar or equivalent qualification is preferred.
Minimum 3–5 years of legal experience in a law firm or in-house legal role.
Strong understanding of corporate law, contract law, regulatory compliance, and dispute resolution.
Experience in aviation, fintech, digital services, or technology-related legal matters is an advantage.
Strong drafting, negotiation, and analytical skills.
Ability to work in a fast-paced, dynamic environment and collaborate with cross-functional teams.

Job Description

Responsible to provide legal advice and support to the Tires sector in Malaysia, Singapore, Thailand, Indonesia, South Korea, and Japan.
Responsible to identify and analyze legal risks.
Consistently monitors changes in legislation applicable to supported legal entities and timely inform affected stakeholders explaining how the changes may affect the business.
Support the development and implementation of solutions for risk avoidance or limitation.
Communicate and negotiate with external parties (customers, suppliers, public authorities etc.).
Taking part and advising in various projects in multiple legal areas with multiple stakeholders.
Responsible to draft, review, and negotiate contracts and other legal documents.
Use available contract management/approval tools.
Conduct workshops and training for assigned stakeholders.
Responsible to assist and support stakeholders in claim management, both in and out of court.
Cooperates with other central functions and departments within Continental.
Coordinates external law firms.
Regularly records and tracks all legal matters in applicable IT system(s) and provide an overview when required.
Responsible to uphold the confidentiality of information received and respects internal regulations/processes.

Qualifications

Degree in Law (LLB)
Qualified to practice in Malaysia
At least 3 years post qualification experience working as an in-house counsel or with a law firm
Experience in automotive or manufacturing industry will be a plus

Your Mission

Draft, review, negotiate and advise on contracts/legal documentations for transactions and operational matters of SD Guthrie group of companies, in particular, downstream operation
Interpret, analyse, identify, apply and resolve issues arising under the law and regulatory requirements
Providing updates on laws/regulatory matters that affect SD Guthrie Berhad group of companies, both local and overseas.
Responsible for providing guidance and legal advice to internal stakeholders of SD Guthrie Berhad group of companies, both local and overseas, as and when the need arises.
Liaising and coordinating with external solicitors on all matters involving SD Guthrie Berhad group of companies, both local and overseas, as and when required.
Build and maintain a good business relationship with all the various internal and external stakeholders to safeguard the interest of SD Guthrie group of companies
Coach and motivate legal team to ensure high performance and delivery
To perform and carry out any other responsibilities as and when required by the superior on legal matters involving SD Guthrie Berhad group of companies, both local and overseas.

Ideal Candidate

Degree in Law (LLB), Certificate of Legal Practice (CLP)
At least 10 years as an practicing lawyer and/or in-house legal counsel in a listed company/multi-national corporation
Experience in plantation industry and financing transactions will be an added advantage

About This Role

Main responsibilities:

Drafting, reviewing and negotiating a wide array of commercial agreements in the information technology field such as letters of intent, proofs of concept, services agreements, software licenses, data processing agreements and other technology-related contracts in relation to the distribution and implementation of software solutions across Asia Pacific (including China).
Providing legal support and advice to various functions within the business, including human resources, marketing, finance, product, delivery, procurement and tax on a variety of legal, compliance and contractual topics/issues. This includes conducting legal research on relevant laws, understanding risks arising and devising mitigation strategies to help the business manage accordingly.
Acting as a business partner for the commercial team and working closely with the account managers in supporting sales and business development initiatives.
Supporting the Director Legal, Civil – Flight Operations with other corporate transactions/projects in the region.
Participating in the development and implementation of various contract models, as well as internal policies for the Flight Operations business in line with current business needs and the anticipated growth of this sector, in collaboration with various stakeholders.
Monitoring legal developments in the region and proactively advising the business on compliance measures tailored to suit the operations and needs of the relevant functions.
Engaging and managing outside counsel where specialized advice or support on more complex legal matters are required, including litigation.
Implementing legal & compliance trainings and other initiatives for the business across the region.
Collaborating with and contributing towards various projects of the global Legal team.
Providing advice on the interpretation of laws and regulations applicable to CAE’s activities and on the best practices applicable in the information technology sector.

Skills and Experience:

A law degree from an accredited law school and licensed to practice law in good standing in at least one common law jurisdiction.
At least 7-10 years of qualified experience in an established law firm or as in-house counsel in an international organization.
Excellent proven contract drafting and negotiation skills.
Proficiency in Chinese (spoken and/or written) is a plus.
Relevant experience in IT law and in data protection laws/regulations is a significant asset.

Your role

As a member of the SEAK, Japan, India Legal & Regulatory team, this role will be responsible for providing legal advice and support principally to the retail business as part of the regional Legal & Regulatory team, covering all retail activities of Singapore, Malaysia, Indonesia, Vietnam, as well as supporting other legal review required by any EssilorLuxottica business in Malaysia. Provide the local team with legal assistance in all different legal matters, as well as risk assessment and assisting the Lgeal & Compliance initiatives and policies of EssilorLuxottica Group.

Main Responsibilities

General business support commercial contracts (sales, supply, distribution, etc), services agreements, leases, real estate documents review, bank guarantees, security deposits, various other collaterals and agreements, such as intercompany loans, NDAs, sponsorship agreement, promotion agreements, franchise agreements, regulatory support for medical devices sold at stores (including opthalmic lenses, contact lenses etc), provision of eye exams at stores, sale of hearing aids and other medical devices (such as instruments).
Provide administrative support to the legal team, including monitoring deadlines, contract and documents management.
Assist SEAK legal team with regional legal tasks as required from time to time (report of local litigation, implementation of controls etc).
Provide advice on regulatory, A&P and consumer law matters involving marketing and sales of products and rendering of services.
Handling requests in relation to day-to-day general commercial and corporate legal supported activities (notices, formal letters, power of attorney, Minutes of Board meetings etc).
Participating in meetings with internal clients
Coordination of work with external law firms (employment law and others).
Interactions and collaboration with intellectual property and Compliance teams and leaders to ensure compliance at local level with Group policies and actions to be deployed by them supported by this role.

Main Requirements

Minimum Bachelor of Law Degree (LLB) and Malaysian law qualified lawyer. Additional qualification in Singapore would be an advantage.
At least 4yrs post qualification working experience in reputable law firms and in house would be a plus.
Strong attention to detail coupled with a solution orientated approached.
Excellent business acumen to understand business concepts and act as business partner; able to thrive in a fast-paced and hands on environment.
Leadership and strategic skills, capable to handle complexity and to manage priorities.
Good communication skills and commercial awareness.
Compliance ambassador.
Strong command in English, Bahasa and other local languages (such as Mandarin) would be an advantage for business communication purposes.
