The Regional Legal Counsel will be based in Petaling Jaya Malaysia, reporting to the Region Head of Legal and Compliance who is based in Singapore. Responsibility will cover South Asia Pacific Region (i.e. Southeast Asia, India, Australia and New Zealand)What does the role involve? The role involves:
Assisting and supporting Region Head of Legal and Compliance in all legal and compliance matters, including the roll-out of global contracting concepts (sales, services, and software) and regionalization of contracts according to local law requirements.
- Provide legal advice on all legal matters to the Global/Regional and Hilti Market Organizations teams in the Region in line with the Hilti group policies and procedures.
- Be the primary support (including global alignments) for all employment/labor law and corporate matters arising from the various Hilti legal entities in the Region.
- Draft, review and negotiate commercial or project sales contracts, including contract administration matters. Examples of contracts and document-types include corporate or financial documentation, tenancy agreements, employment contracts, sales/EPC contracts, correspondences/notices, NDAs, logistics/services contracts, product liability/warranty documents, distributor agreements, and other legal/commercial documents.
- Participate in global legal initiatives and align and implement all globally cascaded policies and initiatives in the Region.
- Support Region Head of Legal and Compliance in steering and managing external legal counsels.
- Conduct presentations and training for the business teams on legal and compliance topics, as required.
- Qualified lawyer with 8-10 years’ experiences ideally gained in a top-tier law firm and/or a multinational company.
- Candidates may be qualified in any competent jurisdiction in the Region.
- Substantial experience working in the Region market and a clear and working understanding of its business norms is required. Working knowledge of employment/labor law, corporate and commercial law matters. Experience in sales/project contracting in the energy, civil/commercial infrastructure construction, oil and gas/offshore wind (either in a project owner/end user, EPC and/or as a supplier interacting with such customers) is strongly preferred. Strong business acumen and a ‘team player’ mindset is essential.
- Experience reviewing, and negotiating legal/commercial contracts, and in contracts administration, in relation to all the above activities, is strongly preferred.
- Very strong legal and/or compliance skills and knowledge with a proven track record of handling complex legal matters (corporate, commercial (sales/projects), and negotiations).
- LL.B from a reputable university. LL.M is advantageous.

About The Role

To ensure compliance with all applicable laws and group legal guidelines, we provide cross-functional and multi-disciplinary legal support and advice
Advise, review, draft, and negotiate a wide variety of commercial contracts, including but not limited to software services agreements, maintenance agreements, consultancy agreements, global contractual framework agreements, procurement, subcontractor, and strategic alliance agreements, as well as other in-bound commercial agreements
Liaise with and be the point of contact for internal business clients and other members of the legal department
Lead and assist with various special projects as may be assigned, such as developing standard contract templates, policies, and processes; improving the contract management process; and educating internal teams to ensure conformity and consistency in the application of relevant policies
Assist with all HR and licensing matters in the region
Manage and coordinate with internal subject matter experts, external counsel, and relevant authorities as needed
Prepare contract summaries, legal trackers, and dispute resolution trackers to aid in the management decision-making process
Assist in the development of legal procedures, practices, and structures to support APAC operations and businesses
Great skills to have

Your Role in Our Mission
As Chief Legal Officer (CLO), you will lead NEXT's global legal strategy, ensuring compliance, risk management, and structural integrity across our multi-jurisdictional operations. You'll tackle challenges like entity setups (e.g., in Cyprus, UAE, Hong Kong), regulatory compliance for payment agents and brokers, and legal support for fundraising.
This role is critical for mitigating audit risks, optimizing inter-entity agreements, and aligning legal priorities with business growth in fintech. You'll collaborate with C-suite leaders and build a robust legal team.
How You’ll Make an Impact
Strategic Legal Leadership
- Develop and execute legal strategies that support cross-border entity structuring, tax-efficient fund flows, and capital movements—ensuring compliance with jurisdiction-specific laws such as debt financing rules in the UAE and Hong Kong.
- Advise on major business decisions including market expansion, product launches, and corporate structuring in alignment with international legal frameworks.
- Ensure full compliance with evolving fintech regulations including AML/KYC, EU payment agent laws via Cyprus entities, and broker licensing for platforms such as FNmarkets.
- Lead regulatory readiness efforts for audits, inquiries, and inspections across jurisdictions, proactively mitigating risks and reinforcing governance structures.
- Partner with leadership to prepare for fundraising and future IPO activities through due diligence readiness, investor agreement advisory, and legal risk protection.
- Oversee complex contract negotiations for banking, PSPs, and intercompany agreements to ensure strategic and compliant global growth.
- Collaborate with finance, operations, and product teams to embed legal insights into strategic planning and risk assessments.
- Lead initiatives on employment law across diverse regions (e.g., Sri Lanka and Malaysia), as well as global intellectual property protection and dispute resolution.
- Build and maintain strong relationships with external legal advisors and regulatory bodies across priority markets such as CySEC (Cyprus) and DFSA (UAE).
- Promote a strong internal compliance culture through training and consistent application of legal best practices.
- Juris Doctor (JD) or equivalent law degree with active bar admission in at least one key jurisdiction such as the UK, UAE, Hong Kong, or a member state of the EU.
- 15+ years of senior-level legal experience in fintech, brokerage, or technology-driven organizations, including leadership roles in high-growth, multi-jurisdictional environments.
- Demonstrated expertise in international entity structuring, cross-border compliance, and regulatory affairs across regions such as the UAE, Hong Kong, and the European Union.
- Proven track record in supporting fundraising efforts (Series C and beyond), IPO readiness, and governance design—including investor agreements and legal risk management.
- Deep understanding of corporate law, commercial contracts, intellectual property, employment law, and fintech regulations related to payments and broker-dealer operations.
- Strong strategic advisory and negotiation capabilities, supported by proficiency in legal tech tools and experience managing distributed legal teams.
- Experience in CFD or futures brokerage regulation, with deep familiarity in navigating UAE corporate governance frameworks and EU financial directives.
- A reputation as an ethical, business-savvy legal leader who balances compliance with innovation and growth.
- Demonstrated success in supporting product rollouts and market expansions through pragmatic, cross-functional legal strategy.
- Ability to translate complex legal risks into clear, actionable insights for leadership, with strong stakeholder management across regulators, external counsel, and executive peers.

- Assist in managing litigation files, including documentation compilation, tracking deadlines, and coordinating responses with internal teams and external counsel.
- Maintain up-to-date litigation status reports and communicate relevant updates to management and business units.
