Responsibilities- General Legal Affairs:

- Represent the institution in legal matters and liaise with external counsel when necessary.
- Company Secretarial Duties:

Your role
As a member of the SEAK, Japan, India Legal & Regulatory team, this role will be responsible for providing legal advice and support principally to the retail business as part of the regional Legal & Regulatory team, covering all retail activities of Singapore, Malaysia, Indonesia, Vietnam, as well as supporting other legal review required by any EssilorLuxottica business in Malaysia. Provide the local team with legal assistance in all different legal matters, as well as risk assessment and assisting the Lgeal & Compliance initiatives and policies of EssilorLuxottica Group.
Main Responsibilities
- General business support commercial contracts (sales, supply, distribution, etc), services agreements, leases, real estate documents review, bank guarantees, security deposits, various other collaterals and agreements, such as intercompany loans, NDAs, sponsorship agreement, promotion agreements, franchise agreements, regulatory support for medical devices sold at stores (including opthalmic lenses, contact lenses etc), provision of eye exams at stores, sale of hearing aids and other medical devices (such as instruments).
- Provide administrative support to the legal team, including monitoring deadlines, contract and documents management.
- Assist SEAK legal team with regional legal tasks as required from time to time (report of local litigation, implementation of controls etc).
- Provide advice on regulatory, A&P and consumer law matters involving marketing and sales of products and rendering of services.
- Handling requests in relation to day-to-day general commercial and corporate legal supported activities (notices, formal letters, power of attorney, Minutes of Board meetings etc).
- Participating in meetings with internal clients
- Coordination of work with external law firms (employment law and others).
- Interactions and collaboration with intellectual property and Compliance teams and leaders to ensure compliance at local level with Group policies and actions to be deployed by them supported by this role.
- Minimum Bachelor of Law Degree (LLB) and Malaysian law qualified lawyer. Additional qualification in Singapore would be an advantage.
- At least 4yrs post qualification working experience in reputable law firms and in house would be a plus.

- Reviewing and negotiating agreements with any payments-associated partners, outsourced vendors and service providers
- Working closely with the Compliance function on licensing and regulatory matters
- Drafting any iterative changes to our template contracts necessitated by regulatory developments or new commercial or product requirements
- Support Group Legal and Leadership on major strategic projects and legal initiatives
- Liaising with external legal counsels where specialised local advice is needed
- Stay ahead of regulatory changes and proactively drive action within the business
- Performing pre-litigation work to minimize risks and maximize legal rights
- Providing corporate secretarial support for strategic business activities
- Around 5-6 years of post-qualification experience (PQE) in a reputable law firm or in-house legal department
- Admitted to the Malaysian bar
- Experience (or keen interest) in financial services, banking, payments, digital lending or fintech
- Strong contract drafting and negotiation skills across commercial agreements
- Fluent in Bahasa and English (spoken and written)
- Proactive and independent mindset with an eye for detail

Responsibilities- To support the Corporate Institutional Banking (CIB) Business and Legal Team and Group Commercial Legal on day to day legal, operational and administration matters as a member of the Legal Centre of Excellence (COE) based in Kuala Lumpur.
- To promote a culture and practice of good conduct of business and adherence to a standards within the Group.
- To review, advise, draft and negotiate client lending documentation, NDAs and other ancillary client documentation to ensure that they meet the Group’s policies and standards and applicable law, including against internal checklists and liaising with CIB Business and Legal teams in relation to the same. The scope of the role is global and will cover each of the CIB Business and Product areas.
- To assist with client contractual queries from the CIB Business and Legal Teams, including contract reviews and research, risk assessments and the preparation of advice and reports.
- To collaborate with and assist other legal teams across the Group to ensure appropriate overall matter management, including addressing product-specific considerations and local law requirements. Where external counsel is appointed, to support the management of the engagement.
- To analyse potential risks involved with specific contract teams and other risk owners.
- To provide stakeholders with accurate and timely information and advice regarding the status of contract matters and other matter reporting. To keep up to date with relevant Group policies and standards and applicable law.
- Responsible for adhering to the Group Contracts Policy, applicable product Legal DOIs and any CIB Compliance policies and frameworks / playbooks relating to specified client activity.
- To support with continuous improvement initiatives in relation to contract processes, workflow, guidance, playbooks and templates and provide training on contract legal issues to legal teams and other stakeholders.
- To collaborate and coordinate with other legal teams across the Bank to ensure appropriate overall matter management. Where external counsel is appointed, to manage the engagement, oversee the quality of work and effective delivery of legal support and manage external legal costs.
- To support on team management and administration tasks where required.
