Job Summary

In this role, you will work as the Company Secretary to ensure that the organisation meets all statutory obligations, regulatory requirements, and board governance standards.

This is a key position that involves high-level interaction with board members, shareholders, senior management, and committee members. You will be instrumental in ensuring seamless board administration and committee administration, accurate documentation, and consistent adherence to corporate secretarial best practices.

The Day-To-Day Activities (Responsibilities)
  • Serve as the key liaison for board-related matters and various committee-related matters.
  • Coordinating with directors, shareholders, committee members and external parties as needed.
  • Plan and manage board and committee meetings, including the preparation of agendas, and accurate recording and distribution of meeting minutes, and other corporate documentation required for various corporate matters.
  • Develop and maintain the annual board and committee calendar
  • Prepare and file statutory returns, resolutions, and required corporate documents in a timely and accurate manner to the Companies Commission of Malaysia (CCM) in compliance with all relevant acts and rules.
  • Assist in the organisation of Annual General Meeting (AGM) and Extraordinary General Meeting (EGM).
  • Assist in the preparation of and coordinating the required information for the Annual Report and Circular to shareholders.
  • Assist in the preparation of and ensuring that announcements to Bursa Malaysia in compliance with Bursa requirements.
  • Maintain, manage and update the statutory records/registers of U Mobile group of companies and the corporate secretarial database.
  • Oversee the corporate secretarial function, ensuring effective document control and policy compliance.
  • Maintain current knowledge of company secretarial best practices and regulatory changes, providing recommendations to enhance governance structures and policies.
Qualifications
  • ICSA qualification and is a Member of MAICSA or a Licensed Secretary
  • Bachelor’s degree in law is highly desirable.
  • Solid company secretarial background with at least 10 years working experience.
  • Industry exposure telecommunications or tech services is highly desirable.
  • In-depth knowledge of Malaysian company law, Listing Requirements, Malaysian Code on Corporate Governance and relevant regulatory acts, laws and guidelines related to corporate secretarial practices.
  • Proficiency in MS Office (Word, Excel, PowerPoint).
  • Proficiency in using relevant systems and applications, such as MyCoID and MBRS for online submissions to CCM.
  • Excellent communication and interpersonal skills, with the ability to engage confidently with senior stakeholders and board members.
  • High standards of professionalism, discretion, and confidentiality in handling sensitive information.
  • Strong organizational skills with meticulous attention to detail and the ability to manage multiple priorities under tight deadlines

The Company Secretary is responsible for ensuring the company’s compliance with Singapore’s corporate laws and regulations while managing legal risks and corporate governance. KEY RESPONSIBILITIES

Corporate Governance & Compliance

  • Ensure compliance with Companies Act, ACRA regulations, MAS guidelines and other corporate laws.
  • File annual returns, board resolutions and other necessary filings with ACRA.
  • Maintain statutory registers and records.
  • Advise the board on legal and regulatory obligations.
  • Keep the board and management updated on legal and regulatory changes.

Board and Shareholders Meetings

  • Organize board meetings, annual general meetings (AGMs) and committee meetings.

Statutory Documentation

Contract Management

  • Draft, review and negotiate contracts, MOUs, NDAs, service agreements and other legal documents.

  • Advise on corporate laws, labor laws, intellectual property and industry – specific regulations.
  • Liaise with regulatory authorities (ACRA, MAS, IRAS, NEA, SLA, JTC, etc)

Risk Management & Advisory

  • Identify potential legal risks and provide proactive solutions.
  • Develop and implement legal policies and frameworks.

QUALIFICATIONS AND SKILLS

  • Qualified Company Secretary (SAICSA/ICSA Certification required).
  • Law Degree (LLB) from a recognized university/institution preferred.
  • Minimum of 5 to 8 years of experience in corporate secretarial and legal functions.
  • Experience in a listed company, financial institution or MNC preferred.
  • Strong knowledge of Singapore corporate laws, ACRA regulations, SGX rules, MAS compliance and contract law;
  • Excellent drafting, negotiation and communication skills;

The Legal Support Lead Officer is a senior level role, responsible for providing legal support to the business teams in various APAC jurisdictions re. Commercial Cards, Cash, Liquidity, Trade, and Investor Services. This is also a support function (not a country counsel or product role), where focus is on hiring a suitable candidate with specific and detailed exposure to agreements and negotiation of said agreements re. Commercial Cards business. The overall objective of this role is to provide support to the Legal Team. There will be substantial exposure to ideation, drafting, negotiating for all aforesaid five products/ lines of business. Such exposure (or more) will also depend on the ability of candidate to shoulder said responsibility. Selected candidate may also be guiding junior officers within the team, thereby giving substantial leadership opportunity as well that may be expanded depending on the candidate review of contributions by senior management.

Responsibilities:

  • Assisting Product Legal in periodic review, and where required, standardization of templates (agreements etc.). Liaising with country counsel of given jurisdiction for incorporating said jurisdiction specific points in the legal documentation for relevant product.
  • Assisting business in review and resolution of legal queries pertaining to any of these 5 products (N.B.: Primary focus shall remain on Commercial Cards).
  • Responsible for legal support activities related to legal operations, litigation, settlements, or negotiation and contract administration etc.
  • Manage the execution, review, processing and tracking of legal documentation and records, executes transactions and completes varied work requests from multiple sources that may be complex in character and have tight deadlines. Record keeping re. approvals given to business and other departments will also form an integral part of this role.
  • Single handedly help local business or country counsel negotiate agreements with clients.
  • Participate in legal programs and projects to achieve coordinated and efficient process improvements and legal support solutions. Liaise with other control/ functional businesses in support of initiatives pertaining to products within scope (see job description above).
  • Interact with senior leaders, internal and external peers to gather information and works closely with the team’s management to determine legal solutions. Make PPTs/ Excel presentations and present them to senior management (business/ legal) for explaining any given issue.
  • Undertake periodic knowledge sessions (on specific topics) for business or legal colleagues for any of the aforesaid products (particularly for Comm. Cards).
  • Remain updated and current with regulatory changes (new regulations etc.), internal policy changes and developments in the law for aforesaid Products.
  • Conduct independent research, investigations and analysis, applying institutional knowledge and knowledge of laws, rules and regulations, to support in the identification of legal solutions situations or to formulate an approach or strategy.
  • Apply in-depth understanding of how associated risks differ depending on product and documentation as envisaged in relevant jurisdiction(s) and provides advice to Risk and Business.
  • Assess risk (incl. reputational risk) when business decisions are being made. Help business arrive at a fair outcome for clients.

Qualifications:

The Legal Support Lead Officer is a senior level role, responsible for providing legal support to the business teams in various APAC jurisdictions re. Commercial Cards, Cash, Liquidity, Trade, and Investor Services. This is also a support function (not a country counsel or product role), where focus is on hiring a suitable candidate with specific and detailed exposure to agreements and negotiation of said agreements re. Commercial Cards business. The overall objective of this role is to provide support to the Legal Team. There will be substantial exposure to ideation, drafting, negotiating for all aforesaid five products/ lines of business. Such exposure (or more) will also depend on the ability of candidate to shoulder said responsibility. Selected candidate may also be guiding junior officers within the team, thereby giving substantial leadership opportunity as well that may be expanded depending on the candidate review of contributions by senior management. Responsibilities: Assisting Product Legal in periodic review, and where required, standardization of templates (agreements etc.). Liaising with country counsel of given jurisdiction for incorporating said jurisdiction specific points in the legal documentation for relevant product. Assisting business in review and resolution of legal queries pertaining to any of these 5 products (N.B.: Primary focus shall remain on Commercial Cards). Responsible for legal support activities related to legal operations, litigation, settlements, or negotiation and contract administration etc. Manage the execution, review, processing and tracking of legal documentation and records, executes transactions and completes varied work requests from multiple sources that may be complex in character and have tight deadlines. Record keeping re. approvals given to business and other departments will also form an integral part of this role. Single handedly help local business or country counsel negotiate agreements with clients. Participate in legal programs and projects to achieve coordinated and efficient process improvements and legal support solutions. Liaise with other control/ functional businesses in support of initiatives pertaining to products within scope (see job description above). Interact with senior leaders, internal and external peers to gather information and works closely with the team’s management to determine legal solutions. Make PPTs/ Excel presentations and present them to senior management (business/ legal) for explaining any given issue. Undertake periodic knowledge sessions (on specific topics) for business or legal colleagues for any of the aforesaid products (particularly for Comm. Cards). Remain updated and current with regulatory changes (new regulations etc.), internal policy changes and developments in the law for aforesaid Products. Conduct independent research, investigations and analysis, applying institutional knowledge and knowledge of laws, rules and regulations, to support in the identification of legal solutions situations or to formulate an approach or strategy. Apply in-depth understanding of how associated risks differ depending on product and documentation as envisaged in relevant jurisdiction(s) and provides advice to Risk and Business. Assess risk (incl. reputational risk) when business decisions are being made. Help business arrive at a fair outcome for clients. Adhering to firm’s Policy, apply sound ethical judgment regarding personal behavior, conduct and business practices. Escalating issues in a timely and professional manner, managing and reporting control issues with transparency. Qualifications: 8 - 10 years of relevant experience (on business or legal side), preferably with some experience working in an in-house legal role within financial services. Must possess excellent oratory, interpersonal, and project management skills, as well as the ability to interact and communicate effectively with senior management formally. Must have excellent working knowledge of English and Malay language (written and spoken). Ability to read, write, and speak Mandarin/ Cantonese may be helpful. Proficient in Microsoft Office: Word, PowerPoint, Excel, Outlook. In-depth knowledge of legal customs and practices re. Commercial Cards. Knowledge and understanding of the financial services industry. Ability to manage complex documentation with organization and detail.
