What You'll Do: 1. Legal Matters & Portfolio Support- Provide comprehensive legal advice and support across the entire lifecycle of deals funded through pitchIN's platform, from initial structuring to post-funding management.
- Draft, review, and negotiate a wide range of legal documents related to investments, including subscription agreements, shareholders' agreements, term sheets, and other ancillary agreements.
- Manage and advise on legal issues arising from the existing portfolio of funded companies, including corporate actions, governance matters, and potential disputes.
- Conduct legal due diligence on potential issuers and investment opportunities to identify and mitigate risks.
- Advise on legal aspects concerning the ongoing relationship between investors, issuers, and the platform post-funding.
- Manage all corporate secretarial duties for pitchIN, ensuring compliance with the Companies Act 2016 and other relevant regulations.
- Prepare board papers, resolutions, and minutes for board meetings and general meetings.
- Maintain statutory registers and records accurately and efficiently.
- Provide comprehensive support to the Board of Directors, ensuring smooth governance operations.
- Act as a key liaison for internal and external stakeholders, including regulators (e.g., SC), investors, issuers, partners, and legal advisors.
- Build and maintain strong, collaborative relationships to ensure effective communication and successful outcomes.
- Address stakeholder inquiries and concerns promptly and professionally, providing clear and concise information.
- Represent pitchIN in discussions and negotiations with legal counsel and other relevant parties.
- A Bachelor of Laws (LLB) degree from a recognized university.
- Proven experience (5 years) in corporate or commercial law, with a strong focus on investment-related legal work, preferably within the financial services or fintech industry.
- Experience in managing legal aspects of a portfolio of investments or companies will be a significant advantage.
- Strong understanding of Malaysian corporate laws, investment instruments, and corporate governance best practices.
- Excellent drafting, negotiation, and communication skills (both written and verbal).
- Ability to work independently, manage multiple priorities, and meet deadlines in a fast-paced environment.
- High level of integrity, professionalism, and attention to detail.

The Lead Counsel II is a senior level position responsible for providing legal guidance and thought leadership to the business. The overall objective of this role is to provide legal support, advice, and guidance to the business.

**Responsibilities:**
+ Responsible for providing legal counsel to the Business, participating in strategic initiatives, providing subject matter expertise and interpretations of relevant laws, rules, regulations, and industry practices, and advising business management on legal matters impacting the business
+ Partners with legal peers to objectively evaluate business proposals by applying institutional knowledge and risk appetite against industry standards, widely accepted business practices, laws, rules, and regulatory guidelines, escalating as appropriate

+ Monitors management of complex legal issues and transactions, escalating when necessary

**Qualifications:**
+ 6-10 years of relevant industry experience, preferably in financial services
+ Banking or financial industry experience, including laws related to banking regulations
+ Knowledge of international laws, regulations and practices while staying abreast of regulatory and legal environment, internal policies and industry trends that impact the business
+ Experience with complex deals, demonstrated ability to analyze issues and develop legal solutions
+ Effective communication and negotiation skills and ability to build and maintain trusted relationships

Responsible for legal support activities related to legal operations, litigation, settlements, or negotiation and contract administration etc. Manage the execution, review, processing and tracking of legal documentation and records, executes transactions and completes varied work requests from multiple sources that may be complex in character and have tight deadlines. Record keeping re. approvals given to business and other departments will also form an integral part of this role. Single handedly help local business or country counsel negotiate agreements with clients. Participate in legal programs and projects to achieve coordinated and efficient process improvements and legal support solutions. Liaise with other control/ functional businesses in support of initiatives pertaining to products within scope (see job description above). Interact with senior leaders, internal and external peers to gather information and works closely with the team’s management to determine legal solutions. Make PPTs/ Excel presentations and present them to senior management (business/ legal) for explaining any given issue. Undertake periodic knowledge sessions (on specific topics) for business or legal colleagues for any of the aforesaid products (particularly for Comm. Cards). Remain updated and current with regulatory changes (new regulations etc.), internal policy changes and developments in the law for aforesaid Products. Conduct independent research, investigations and analysis, applying institutional knowledge and knowledge of laws, rules and regulations, to support in the identification of legal solutions situations or to formulate an approach or strategy. Apply in-depth understanding of how associated risks differ depending on product and documentation as envisaged in relevant jurisdiction(s) and provides advice to Risk and Business. Assess risk (incl. reputational risk) when business decisions are being made. Help business arrive at a fair outcome for clients. Adhering to firm’s Policy, apply sound ethical judgment regarding personal behavior, conduct and business practices. Escalating issues in a timely and professional manner, managing and reporting control issues with transparency. Qualifications: 8 - 10 years of relevant experience (on business or legal side), preferably with some experience working in an in-house legal role within financial services. Must possess excellent oratory, interpersonal, and project management skills, as well as the ability to interact and communicate effectively with senior management formally. Must have excellent working knowledge of English and Malay language (written and spoken). Ability to read, write, and speak Mandarin/ Cantonese may be helpful. Proficient in Microsoft Office: Word, PowerPoint, Excel, Outlook. In-depth knowledge of legal customs and practices re. Commercial Cards. Knowledge and understanding of the financial services industry. Ability to manage complex documentation with organization and detail. Education: Bachelors/ University degree, Masters’ degree preferred. Someone with Bachelors / Masters in Law may be preferred even if currently working within a business team. We are currently seeking an experienced professional to join this team in the role of Legal Counsel, Markets and Securities Services.
Principle Responsibilities
- To act as the legal counsel supporting Markets and Securities Services (MSS).
- To work with the MSS Business Lead Lawyer to implement and communicate the strategic and operational objectives of the Global Legal Function across the Conventional and Amanah business and identify, formulate and communicate policies and procedures in line with these objectives.
- To provide proactive legal advice, guidance and support to Conventional and Amanah, and to other business areas and functions as required to ensure that the Group's exposure to legal risk is managed effectively.
- To back up MSS Business Lead Lawyer in representing the legal function in MSS business governance forum such as MSS Business and Local Risk Committees.
- Works under the supervision of the MSS Business Lead Lawyer but will work independently on routine matters.
- Ability to prioritize workload in terms of legal risk and commercial consideration.
- Maintain knowledge of HSBC Group operations and policies.
- Enhance relationship with higher levels of management inspiring confidence of customers/stakeholders.
- To assist the General Counsel and Senior Legal Counsel as required from time to time.
Requirements
- Legal background (qualified lawyer or law degree)
- Minimum 5 years' of relevant experience.
- Knowledge and experience of markets, derivatives, banking, corporate and securities law concepts and working knowledge of the laws in the major jurisdictions in which HSBC operates.
- Have an excellent knowledge of a variety of traded markets master agreement documentation and their underlying products (in particular, ISDA Master Agreements and other market standard derivatives and securities financing agreements) and credit, legal, regulatory and operational issues/risks relating thereto.
- Have a solid understanding of the roles, responsibilities, dependencies and dynamics between key banking functions such as Sales, Trading, Counterparty Credit Risk, Market Risk, Treasury and Counterparty Exposure Management .
- Corporate experience and Compliance experience an advantage, but not essential.
- Ability to prioritise and multitask.
- Good inter-personal skills and ability to build relationships across business lines and within Legal.
- Developing lateral thinking / problem solving skills.
- Developing ability to influence.
