Workday’s Global Legal Services (GLS) Service Delivery is looking for a high-performing Contracts Administrator to join our team. GLS is a legal team within Legal, Compliance, and Corporate Affairs which operates at scale through simplicity, speed, and skills. GLS is comprised of several teams including:

Job Description

Legal

  • In-depth knowledge and experience with securities laws, regulations and guidelines, and any other applicable law governing the regulated activities in Malaysia including REIT and non-REIT entities
  • Drafting, reviewing, vetting and preparation of Contracts, Legal Documentations, Legal Correspondences and Agreements
  • Advise on trademark, dispute resolution, arbitration, employment and industrial relations
  • Liaise with solicitors or authorities with regards to all legal matters
  • Experience with property law including sale and purchase agreements, tenancy agreements and other land related matters;
  • Experience in financing and loan documentation;
  • Troubleshoot and solve any legal, risk and compliance issues that may arise from time to time
  • Lead employee training sessions on legal issues.
  • Able to project manage ad-hoc projects & duties assigned.

Compliance

  • Implementation, monitoring and reporting of regulatory compliance requirements for anti-money laundering, corruption, corporate governance, personal data and business-related issues.
  • Responsible for overall supervision of compliance with securities laws, regulations and guidelines, and any other applicable law governing the regulated activities.
  • Responsible to design and monitor control systems to deal with violations of legal rules and internal policies and regularly assess the efficiency of control systems and recommend effective improvements;

Requirements

  • Bachelor’s degree in law, business administration, or relevant field;
  • Well versed in Companies Act, Bursa Malaysia Listing Requirements, Securities Commission guidelines, CCM and other relevant regulatory acts, laws and guideline;
  • A qualified lawyer who possesses minimum of 5 years’ experience in corporate environment and with exposure to compliance matters relating to Capital Market;
  • Good knowledge and understanding of corporate governance, regulatory compliance and familiar with organisational best practices;
  • Exposure to hospitality, commercial or retail business audits is an added advantage;
  • Familiar with local Malaysia relevant law. legal requirements and guidelines especially Company Law, Securities Commission and Bursa Malaysia, etc.;

As a Advisor, Legal and Compliance at B. Braun you will play a vital role in….

Your key responsibilities:

  • Providing legal support and advice on the effect of all agreements with external parties.
  • Assist the Head of Legal in the negotiation and settlement of commercial arrangements (e.g. loans, leases, purchase agreements, acquisitions, divestitures) and draft and review legal documents that protect the organisation's legal and business interests.Assist in conducting legal due diligence on potential acquisition targets.
  • Instructing external counsel where necessary for litigation matters and acting as liaison between external counsel and company stakeholders to ensure proper and adequate flow of information necessary.
  • Assist in overseeing legal defence actions and represent the organisation in matters before courts, government agencies, or other authorities in order to protect the organisation's legal and business interests.
  • Prepare materials for external legal counsel and manage these relationships to ensure that the organisation's interests are well-represented.
  • Ensuring compliance of laws and regulations for all operations in the organization.Maintaining company secretarial records and department database for case management and templates.The job function listed is not exhaustive and shall also include any responsibilities as assigned by the Supervisor from time to time.

What you will bring to the team:

  • Bachelor's Degree - Law/ Life Science related discipline preferred / Added advantage Certificate in Legal Practice (CLP).Qualified Lawyer with at least 6 to 8 years of corporate experience.Drafting / Reviewing and negotiating complex commercial contracts / Respond to legal queries and conduct research on legal queries.
  • Experience in Compliance related manners, preferably Healthcare Compliance.Able to formulate responses to Letter of Demand and liaise with external counsels on litigation matters.
  • Well-versed in Corporate / Commercial Law, Employment Law, Intellectual Property, and Contract Law.
  • Experience in Life Science / Pharmaceutical Industry / Medical Device Industry is an added advantage.Good negotiation skills are preferred.
